All service engagements between DigiXperts and a Client are governed by a separate project proposal, quotation, or service agreement that outlines the specific scope of work, deliverables, timeline, and pricing. Delays in providing content, feedback, or approvals by the Client may result in corresponding delays in project delivery. DigiXperts shall not be held responsible for such delays.
Project timelines are estimates based on the agreed scope and assume timely cooperation from the Client. DigiXperts will make reasonable efforts to meet agreed timelines but does not guarantee specific delivery dates unless explicitly committed in writing. Force majeure events may affect timelines, and DigiXperts will communicate any such delays promptly.
Upon full and final payment of all agreed fees, the Client shall own the source code, design files, and other deliverables specifically created for the Client's project. This ownership transfer applies only to custom work created specifically for the Client and does not include DigiXperts' proprietary tools, frameworks, libraries, templates, or reusable components.
DigiXperts retains all rights to its proprietary tools, frameworks, libraries, methodologies, and pre-existing code that may be incorporated into or used alongside the Client's deliverables. The Client is granted a non-exclusive, perpetual license to use such components as part of the delivered solution.
Deliverables may include open-source libraries, third-party plugins, or external services. These are subject to their respective licenses and terms, and the Client agrees to comply with such terms.
DigiXperts reserves the right to display completed work in its portfolio, case studies, and marketing materials, unless the Client requests otherwise in writing prior to project commencement.
Certain third-party services required for the Client's project are the responsibility of the Client, including but not limited to:
DigiXperts may assist in setting up and configuring these services, but the accounts and billing are owned and managed by the Client.
DigiXperts is not responsible for the availability, pricing changes, terms of service modifications, outages, or discontinuation of any third-party services. We will assist in migrating to alternative services if needed, which may be billed as additional work.
DigiXperts provides a complimentary post-launch support period as specified in the project agreement (typically 15 days). This covers bug fixes and issues related to the delivered scope only.
Following the complimentary support period, the Client may opt for a monthly maintenance plan, typically covering:
Any work outside the maintenance scope will be quoted and billed separately.
DigiXperts warrants that all services will be performed in a professional and workmanlike manner, consistent with generally accepted industry standards. If any deliverable does not materially conform to the agreed specifications, DigiXperts will use reasonable efforts to correct the issue within a reasonable timeframe.

For engagements requiring enhanced confidentiality protections, DigiXperts is willing to execute a separate Non-Disclosure Agreement (NDA) upon request.

Both parties agree to first attempt to resolve any disputes through good-faith negotiation and discussion. If a dispute cannot be resolved through negotiation within 30 days, either party may refer the matter to mediation before a mutually agreed-upon mediator. If mediation fails, any legal proceedings shall be subject to the exclusive jurisdiction of the courts in Andhra Pradesh, India.
These Terms are governed by and construed in accordance with the laws of India. All service engagements are subject to Indian law, including the Information Technology Act, 2000, and the Indian Contract Act, 1872, as applicable.
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
