These Terms and Conditions (“Terms”) govern your use of the website digixperts.in (“Website”) operated by DigiXperts Software Solutions (“DigiXperts,” “we,” “us,” or “our”), as well as the services we provide.

By accessing our Website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our Website or services.

Definitions

  • “Client” refers to any individual, business, or institution that engages DigiXperts for the provision of services.
  • “Services” refers to all digital solutions offered by DigiXperts, including but not limited to web development, app development, ERP/CMS solutions, digital marketing, software technical support, workflow automation, cloud infrastructure, and security services.
  • “Deliverables” refers to the specific outputs, products, or work items produced by DigiXperts as part of an engagement.
  • “Website” refers to digixperts.in and all its subdomains and pages.
  • “User” or “Visitor” refers to any individual who accesses the Website.

Use of the Website

Permitted Use

You may use our Website for lawful purposes only. You may browse our content, submit enquiries, and contact us through the provided channels.

Prohibited Use

You agree not to:

  • Use the Website in any way that violates applicable local, state, national, or international laws or regulations.
  • Attempt to gain unauthorized access to any part of the Website, its servers, or any systems connected to the Website.
  • Introduce viruses, malware, or any other harmful code to the Website.

Services and Engagements

Scope of Work

All service engagements between DigiXperts and a Client are governed by a separate project proposal, quotation, or service agreement that outlines the specific scope of work, deliverables, timeline, and pricing. These Terms apply in addition to any such agreement. In the event of a conflict, the project agreement shall prevail.

Quotations and Pricing

  • All quotations are valid for the period specified in the quotation document (typically 14 days unless stated otherwise).
  • Prices are quoted in Indian Rupees (INR) unless otherwise specified.
  • GST (18%) is applicable on all service charges unless explicitly stated as inclusive.
  • Quotations are based on the scope discussed at the time of proposal. Changes to scope may result in revised pricing.

Payment Terms

  • A 30% advance payment is required before commencement of any development work.
  • Subsequent payments are tied to project milestones as defined in the project proposal or agreement.
  • Milestone payments are due within 7 days of milestone completion notification.
  • Payment delays beyond 7 days may result in project timeline adjustments or temporary suspension of work.
  • All payments are non-refundable once the corresponding milestone deliverables have been completed and delivered, unless otherwise agreed in writing.

Client Responsibilities

The Client agrees to:

  • Provide all required content (text, images, data, branding materials) in the format and within the timelines requested.
  • Provide timely feedback, reviews, and approvals at each project stage to avoid delays.
  • Designate a single point of contact for all project-related communication and decision-making.
  • Provide access to necessary accounts, domains, hosting, and third-party services as required.
  • Ensure that all content provided is accurate, lawful, and does not infringe on any third-party rights.

Delays in providing content, feedback, or approvals by the Client may result in corresponding delays in project delivery. DigiXperts shall not be held responsible for such delays.

Project Timeline

Project timelines are estimates based on the agreed scope and assume timely cooperation from the Client. DigiXperts will make reasonable efforts to meet agreed timelines but does not guarantee specific delivery dates unless explicitly committed in writing. Force majeure events may affect timelines, and DigiXperts will communicate any such delays promptly.

Intellectual Property

Ownership of Deliverables

Upon full and final payment of all agreed fees, the Client shall own the source code, design files, and other deliverables specifically created for the Client's project. This ownership transfer applies only to custom work created specifically for the Client and does not include DigiXperts' proprietary tools, frameworks, libraries, templates, or reusable components.

DigiXperts' Proprietary Assets

DigiXperts retains all rights to its proprietary tools, frameworks, libraries, methodologies, and pre-existing code that may be incorporated into or used alongside the Client's deliverables. The Client is granted a non-exclusive, perpetual license to use such components as part of the delivered solution.

Third-Party Components

Deliverables may include open-source libraries, third-party plugins, or external services. These are subject to their respective licenses and terms, and the Client agrees to comply with such terms.

Portfolio and Reference Rights

DigiXperts reserves the right to display completed work in its portfolio, case studies, and marketing materials, unless the Client requests otherwise in writing prior to project commencement.

Third-Party Services and Costs

Client-Managed Services

Certain third-party services required for the Client's project are the responsibility of the Client, including but not limited to:

  • Cloud hosting and infrastructure costs (server, storage, CDN, database)
  • Domain registration and renewal
  • Consumable services (SMS, WhatsApp messaging, email delivery) based on usage
  • Payment gateway merchant accounts
  • Analytics and monitoring tool subscriptions (if premium tiers are needed)

DigiXperts may assist in setting up and configuring these services, but the accounts and billing are owned and managed by the Client.

No Liability for Third-Party Services

DigiXperts is not responsible for the availability, pricing changes, terms of service modifications, outages, or discontinuation of any third-party services. We will assist in migrating to alternative services if needed, which may be billed as additional work.

Maintenance and Support

Post-Launch Support

DigiXperts provides a complimentary post-launch support period as specified in the project agreement (typically 15 days). This covers bug fixes and issues related to the delivered scope only.

Monthly Maintenance

Following the complimentary support period, the Client may opt for a monthly maintenance plan, typically covering:

  • Bug fixes and issue resolution
  • Security patches and updates
  • Server and infrastructure monitoring
  • Performance optimization

What Maintenance Does Not Cover

  • New feature development or extensions to the existing website or application
  • Additional pages, modules, or functionality not in the original scope
  • Accreditation or compliance-related work
  • Content creation, copywriting, or graphic design
  • Issues arising from Client-side modifications without DigiXperts' involvement

Any work outside the maintenance scope will be quoted and billed separately.

Warranties and Disclaimers

Service Warranty

DigiXperts warrants that all services will be performed in a professional and workmanlike manner, consistent with generally accepted industry standards. If any deliverable does not materially conform to the agreed specifications, DigiXperts will use reasonable efforts to correct the issue within a reasonable timeframe.

Website Disclaimer

The content on this Website is provided for general informational purposes only. While we strive to keep the information accurate and up to date, we make no representations or warranties of any kind, express or implied, about the completeness, accuracy, reliability, or suitability of the information.

No Guarantee of Results

DigiXperts does not guarantee specific business outcomes, search engine rankings, traffic volumes, conversion rates, or revenue increases resulting from our services. Digital marketing and SEO results depend on numerous factors beyond our control.

Technology Disclaimer

Given the rapidly evolving nature of technology, DigiXperts does not warrant that deliverables will be free from all vulnerabilities, compatible with all future software updates, or operational indefinitely without maintenance. Ongoing maintenance and updates are essential for the long-term health of any digital solution.

Limitation of Liability

To the maximum extent permitted by applicable law:

  • DigiXperts' total liability arising out of or in connection with any service engagement shall not exceed the total fees paid by the Client for that specific engagement in the 12 months preceding the claim.
  • DigiXperts shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill.
  • DigiXperts shall not be liable for any damages arising from the Client's failure to maintain adequate backups of their data and content.

Confidentiality

Both DigiXperts and the Client agree to treat all non-public business information, project details, technical specifications, and proprietary data shared during the engagement as confidential.

Confidentiality obligations do not apply to information that is or becomes publicly available, was already known to the receiving party, is independently developed, or is required to be disclosed by law.

For engagements requiring enhanced confidentiality protections, DigiXperts is willing to execute a separate Non-Disclosure Agreement (NDA) upon request.

Termination

Termination by Client

The Client may terminate a service engagement at any time by providing written notice. In such cases:

  • All fees for work completed up to the date of termination are due and payable.
  • Any advance payments for undelivered milestones may be partially refunded at DigiXperts' discretion, based on work already completed.
  • DigiXperts will provide all completed deliverables upon receipt of payment for work done.

Termination by DigiXperts

DigiXperts may terminate or suspend a service engagement if:

  • The Client fails to make payments within 14 days of the due date after written reminder.
  • The Client materially breaches these Terms and fails to remedy the breach within 14 days of written notice.
  • Continuing the engagement would require DigiXperts to violate any applicable law or regulation.

Effect of Termination

Upon termination, all rights and obligations cease, except for those that by their nature should survive (including confidentiality, intellectual property, limitation of liability, and payment obligations for completed work).

Indemnification

The Client agrees to indemnify, defend, and hold harmless DigiXperts, its directors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • The Client's breach of these Terms or any project agreement.
  • Content provided by the Client that infringes on third-party intellectual property rights or violates any law.
  • The Client's unauthorized modification of delivered code or systems that results in security vulnerabilities or data breaches.

Dispute Resolution

Both parties agree to first attempt to resolve any disputes through good-faith negotiation and discussion. If a dispute cannot be resolved through negotiation within 30 days, either party may refer the matter to mediation before a mutually agreed-upon mediator. If mediation fails, any legal proceedings shall be subject to the exclusive jurisdiction of the courts in Andhra Pradesh, India.

Governing Law

These Terms are governed by and construed in accordance with the laws of India. All service engagements are subject to Indian law, including the Information Technology Act, 2000, and the Indian Contract Act, 1872, as applicable.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

Entire Agreement

These Terms, together with our Privacy Policy and any specific project agreements, constitute the entire agreement between you and DigiXperts regarding the use of our Website and services. They supersede all prior or contemporaneous communications, proposals, and agreements relating to the same subject matter.

Changes to These Terms

We reserve the right to update or modify these Terms at any time. Changes will be effective immediately upon posting on this page. The “Last Updated” date at the top will be revised accordingly. Continued use of the Website after changes are posted constitutes your acceptance of the revised Terms. For active service engagements, material changes will be communicated to the Client in writing.
